NOTICE PURSUANT TO ART. 91 CCII
COLLECTION OF EXPRESSIONS OF INTEREST
 

Industrial properties in Rovereto, in the province of Trento, at Via Enrico Fermi 29, about 6 km from the A22 motorway exit "Rovereto Nord".

In a concordat procedure in business continuity, the petitioning company has provided in its concordat plan for the sale of the entire real estate complex owned – in which the production activity is carried out – in execution of a preliminary sales contract signed with certain prospective buyers prior to the start of the concordat procedure, expiring on December 31, 2025.

The industrial complex is located in a particularly strategic area. The proximity to the A22 motorway exit "Rovereto Nord" represents an excellent connection to the Brenner-Modena corridor. The A22 is considered a fundamental artery for national and European transport. The area where the industrial properties are located is also characterized by the presence of commercial and logistical infrastructures.

The operation provided for in the concordat plan includes:
1) the sale of the entire real estate complex for the remaining consideration (taking into account the deposits already paid) of Euro 5,500,000 (plus accessories and taxes, notary fees at the buyer's expense) by December 31, 2025;
2) the granting of the property in free loan to the current owner and user until December 31, 2026;
3) the commitment to negotiate in good faith and at market conditions (rental fee quantified by a specific appraisal at Euro 118,439 per year, plus accessories and taxes) for the subsequent enjoyment of part of the property by the current owner and user starting from January 1, 2027, through the signing of a commercial lease agreement.

By decree of June 5, 2025, the Court of Rovereto ordered the collection of expressions of interest pursuant to art. 91 CCII.

The real estate assets subject to sale are located in Rovereto, Via Enrico Fermi 29 and are identified as follows:

CC Lizzana PT 1440 p.ed. 1702 in quota 1/1

Interested parties must send an expression of interest to the Judicial Commissioner via PEC at the address of the Procedure marangonimeccanica.rovereto@pecconcordati.it by no later than August 31, 2025.

The expression of interest must be accompanied by:
- for individuals, a valid identity document;
- for legal entities, a chamber of commerce registration showing the powers of representation, as well as a valid identity document of the legal representative.
The expression of interest must also specify the existence of a concrete interest in the operation under the minimum conditions indicated above. Subject to the conditions of points 2) and 3) above, any competitive procedure will focus on increasing the sale price referred to in point 1).

The minimum non-negotiable base price is therefore Euro 5,500,000 (plus accessories).

The Court will be informed of the outcome of this notice. If expressions of interest are received, the Court will evaluate the issuance of the decree to open the competitive procedure pursuant to paragraph 3 and following of art. 91 CCII. The submission of an expression of interest does not confer any right to the organization of the competitive procedure, a choice that will be left to the Court's discretion.

Potential interested parties are hereby informed that any competitive procedure will have strict timelines for the payment of the deposit and the balance of the price, due to the specific needs of the preventive concordat procedure.
