Agricultural Company "Villa Merighi" - Request for Improved Offers

Notice of purchase offer for the company
and invitation to submit
improved offers

The undersigned Dr. Stefano Tonelato as President of the Board of Directors of the Agricultural Company "Villa Merighi" srl, based in Sona (VR) fraction of San Giorgio in Salici, VAT number 03478360237,

whereas:
• the company is currently subject to the negotiated composition procedure of the business crisis at the Court of Verona and independent expert Dr. Leopoldo Mutinelli from Padua has been appointed;
• the company owns a real estate complex located in Sona (VR), consisting of a villa with a winery and adjacent land, a plot of land in Brentino Belluno (VR), as well as various movable assets (agricultural equipment) that are part of the business complex;
• within the framework of the aforementioned procedure, an irrevocable proposal was received on 29.03.2025 for the purchase of the agricultural company "Villa Merighi" at a total price of 900,000.00 euros divided as follows:
• 450,000.00 euros for the villa and the winery located in Sona, which has a voluntary mortgage registered in favor of Banco BPM;
• 390,000.00 euros for the agricultural lands located in Sona, which have a judicial mortgage registered in favor of Dr. Massimo Zatti;
• 20,000.00 euros for the real estate complex located in Brentino Belluno (VR);
• 30,000.00 euros for agricultural equipment;
• 10,000 for residual intangible assets.
• This offer, therefore, includes all the assets owned by the company as better indicated in the appraisal reports that are produced at the link below and that have been prepared within the framework of the real estate execution initiated by Banco BPM (for the villa and winery in Sona) and by Dr. Mattia Corradi appointed as an expert by the judge of the procedure related to the seizure of the company's shares.

any third parties to submit improved offers by no later than 12:00 on 10.05.2025 with the relevant submission via PEC to be sent to the company's address Villamerighi@pec.it and to the independent expert Dr. Leopoldo Mutinelli from Padua (PEC: mutinelli@pecprocessotelematico.it ).

The proposal must be accompanied by a 10% deposit to be submitted by no later than 12:00 on 10.5.2025 via a bank check made out to "Azienda Agricola Villa Merighi srl" at the office of the independent expert Dr. Leopoldo Mutinelli, Via Trieste, 1/A 35121 Padua (tel. 049 8755933).

The eventual improved proposal must start from a minimum amount of 910,000.00 euros to be divided 50% in relation to the properties located in the Municipality of Sona (VR), encumbered by a mortgage registered in favor of Banco BPM (i.e. Villa, winery, and accessories, excluding the part encumbered by usufruct), 43.33% for the agricultural lands also planted in the Municipality of Sona (VR) currently encumbered by a mortgage registered by Dr. Massimo Zatti, 2.22% for the properties located in the Municipality of Brentino Belluno (VR), 3.33% for the equipment, vehicles, furnishings, and systems that are part of the company, and for the remaining part for all residual real and intangible assets owned by Società Agricola Villa Merighi S.r.l..

The notarial deed must take place by no later than May 31, 2025, with the simultaneous payment of the remaining price.

Following the receipt of the offers, the examination of the same will be carried out and, in the case of multiple offers, a bidding process will be initiated among the highest bidders, according to a sales regulation that will be made available to the auction participants with minimum bids of 10,000.00 euros.
