AT AUCTION Business branch of organizing and managing schools and training courses in Perugia

The activity is currently carried out in a portion of the real estate complex located in the Municipality of Perugia, Strada Lacugnano n°67 registered in the land registry at Sheet 281 parcel 7, floors T-1-2-3-4-5, category B/5, class 3, cadastral area 14,222 sqm and R.C. 67,139.28 euros (in the remaining part of this real estate complex, the activity of the business branch related to the boarding school/gym/canteen is carried out, subject to a separate sales procedure). It should be specified that the business branch in question does not include in any way either the ownership or any other real right on the aforementioned real estate complex, nor on the portion of it where the activity of this branch is currently carried out.
The assets and rights that are the subject of the business branch are as follows:
- Accreditation for carrying out training activities provided by the Umbria Region prot. n°029252 of 18/12/2003 confirmed by subsequent resolution of 27/09/2024;
- Instrumental goods including furniture, equipment, systems and machinery, vehicles and distinctive signs;

- Employment relationships (currently n°08 units) of which the specifics are reported in the attached appraisal
Specifically, the training offer consists of the following courses:
- Massage Therapist Physiotherapist;
- Two-year School for Beautician;
- ECM - Training in Medicine;
- Entrepreneurial Beautician;
- OSS - Social Health Operator;
- Tattooing and Piercing;
- Security Officer;
- Health Management, organized by the Faculty of Medicine of the University of Perugia;
- Two-year Optics School;
- Dental Technician School;
- Specialization in Optometry;
- Hairdresser Stylist;
- Sports Massage Therapist;
- Hospitality Institute divided into 3 areas: "FOOD AND WINE", "SERVICE AND SALES" and "TOURIST HOSPITALITY".

It is noted that there is currently a lease contract for the business branch concerning the organization and management of schools and courses for achieving the educational obligation, higher and continuing education by virtue of the accreditation provided by the Umbria Region prot. n°029252 of 18/12/2003 confirmed by subsequent resolution of 27/09/2024. Specifically, the business branch leased consists of: i.) enjoyment of a portion of the real estate of the Company located in Perugia Strada Lacugnano n°67, as previously identified, ii.) furniture, equipment, systems and machinery, vehicles; iii.) distinctive signs and the website; iv.) employment relationships with maintenance of the economic and regulatory treatment already practiced by the granting Company and with the lessee assuming the related charges that were suspended and not settled by the grantor at the date of the contract signing (i.e. accrued vacation and permits, thirteenth month, severance pay).
The lease contract, signed with effect from 29/10/2024, has a duration of about two years with an expiration set for 18/10/2026, without the provision for automatic renewal, and provides for an annual rent of 60,000.00 euros plus VAT to be paid in monthly installments of 5,000.00 euros plus VAT.
