BUSINESS UNIT RELATING TO SHEET METAL PROCESSING, PAINTING AND ASSEMBLY, LOCATED IN GAGGIO MONTANO (BO)
INVITATION TO SUBMIT OFFERS FOR THE INDIVISIBLE PURCHASE OF THE BUSINESS UNIT AND THE PROPERTY

Gaggio Tech Srl Unipersonale in liquidation (the "Company"), with registered and operating office in Gaggio Montano (BO), Località Casona no. 1066, Tax Code 12316920961,

HEREBY NOTIFIES that a proposal has been received, irrevocable until 31 December 2026, for the simultaneous and joint purchase of:

1) its own business unit (the "Sheet Metal Unit"), operated at the premises in Gaggio Montano (BO), currently subject to a lease agreement expiring on 15 April 2027, whose object is sheet metal processing (laser cutting – bending – punching – welding) and epoxy powder coating, as well as the production of complex assemblies. The business consists of:
- technical documentation, technology, programs, trade secrets, drawings and any other know-how owned/licensed by the Company and used by it in relation to the Unit;
- machinery, furnishings and equipment in general (including various and small tools) and other movable assets;
- ongoing contracts entered into for the operation of the business unit;
- no. 24 employment relationships;
- authorizations and permits for carrying out the Unit’s activity granted by the competent authorities, at the price of Euro 2,000,000.00 (two million/00);

2) the property (the "Property") in which the aforesaid unit is operated, located in Gaggio Montano (BO), Località Casona no. 1066, identified in the Land Registry as at the Buildings Register, sheet 57, parcel 529, sub 3, with a pertinent land area of 45,778 sq m and consisting of the additional parcels 387, 388, 417, 436, 438, 443, 448, 449, 450, 454, 580, 582, 584, 586, 595, 596, 602, 603 and 604, at the price of Euro 3,500,000.00 (three million five hundred thousand/00),

interested parties to submit an irrevocable purchase offer on the same terms or on terms better than the one received for the joint purchase of the business unit and the property— to be understood as a Single Lot — no later than 12:00 noon on 10 May 2026, in a sealed envelope, made out to "Composizione negoziata della Crisi - Gaggio Tech s.r.l", at the office of Notary Dr. Luca Guglielmino, in Bologna, Piazza dè Calderini no. 1.
As a security deposit to guarantee the correct performance of the commitments assumed by submitting the offer, the bidder must include in the submission envelope a cashier’s check made payable to Gaggio Tech s.r.l. for an amount not less than 10% (ten percent) of the price offered — which may not be less than Euro 5,500,000.00 (five million five hundred thousand/00) — for the purchase of the Single Lot; failing this, the offer will be considered as not received.
The opening of the envelopes containing the offers received will take place on 11 May 2026, starting at 12:00 noon, at the above-mentioned Notary’s office, in the presence of the bidders, the legal representative of Gaggio Tech s.r.l. and the Expert:

The publication of this announcement, the receipt of offers and any related activity will not entail for the Liquidator the assumption of liability of any kind, including on a pre-contractual basis, nor any obligation.
