By submitting a bid, the bidder declares that they have fully read and accept these conditions of sale and all the documentation provided. If there is a notice of sale attached to the auction form/announcement, by submitting a bid, the bidder declares that they have read and accept the conditions contained therein, of which these conditions of sale are to be considered an extract. The bidder also declares that they have examined and accepted all the documentation provided for the purposes of participation.

Deposit

Participation in the collection is subject to the payment of a mandatory security deposit:

The user must pay a security deposit equal to 10% of the bid price via bank transfer, instant bank transfer mode, to account no. 9782 in the name of "FALL. 121/2019 FIMCO SPA", held at Banca Nazionale del Lavoro S.p.A. – Agenzia Palazzo di Giustizia Bari - IBAN: IT 33 F 01005 04199 00000 0009782, indicating "security deposit for advertisement no. 28316" in the reason for payment.

The user must also pay a security deposit on the Buyer's Premium equal to 1% of the offered price by bank transfer, instant bank transfer mode, to the current account in the name of GOBID INTERNATIONAL AUCTION GROUP S.R.L., opened at Monte Paschi di Siena, IBAN: IT 43 K 01030 21100 000000414486, indicating in the reason for the transfer "security deposit B.P., advertisement no. 28316"

Participation Rules:

The gathering will be done using the following modes:

All bidders, except the subjects by law not allowed to take part in the gathering, after having joined the site www.gobidreal.it, will be required to send an irrevocable purchase offer at a free amount, trough compilation of offer form (published online) and send it undersigned for acceptance of the conditions proposed, at the following address:

in conjunction with the copy proof of the Bank confirming payment of the warranty deposit required.

Irrevocable purchase offers presenting by potential buyers must be accompanied by payment of securety deposit required, the payment of which will constitute, in itself, a formal commitment to purchase by the underwriter of each offer.
 
Offers must be submitted in the manner specified in the attached offer form and must contain:

- Identification of contractor, with complete indication of personal details and details of a identity document, specifying of fiscal code and, in the case of physical person married, the matrimonial regime that existed between the two spouses;

- Chamber of Commerce Comany Registration of company or individual company and an identity document of legal representative (for company) or owner (for individual company);

- price offered for building

The potential buyers must agree to terms and conditions of use of the platform and terms and conditions of use of the gathering and of possible subsequent auction, as stated in the present document.

Payment deadline
Awarded lots have to be paid in full within 120 days from the provisional awarding.

Buyer's premium due (plus VAT) has to be paid within 30 days from awarding.

Fees and expenses related to sale on buyer's expense (law fees, notarial fees, fiscal and non fiscal fees) have to be paid in full  within 120 days from the provisional awarding.


Buyer's Premium:  The above mentioned percentage charge will be applied according to the modes shown in the following table:

In case of insurgency of  any controversy related to the interpretation of the dispositions included in the general and specific terms present in the website  translated in different languages, it will be applied the Italian language version of such texts

Çmimi bazë: € 9.000.000,00 (nëntë milionë euro/00) përveç detyrimeve ligjore nëse janë të detyrueshme, tashmë i përfshirë edhe shuma që do t’i likuidohet kreditorit pengmarrës (sipas marrëveshjes së bashkëngjitur dhe të referuar integralishëm të arritur me AMCO).
Oferta minimale: € 7.200.000,00 (shtatë milionë e dyqind mijë euro/00) përveç detyrimeve ligjore nëse janë të detyrueshme, tashmë i përfshirë edhe shuma që do t’i likuidohet kreditorit pengmarrës (sipas marrëveshjes së bashkëngjitur dhe të referuar integralishëm të arritur me AMCO).

Theksohet, më në fund, se neni 7 i Statutit të Cala Ponte S.p.a. u njeh ortakëve të drejtën e parablerjes në rast të kalimit të të njëjtave kuota aksionare. Për këtë arsye, Kuratela do të kujdeset paraprakisht të informojë ortakët për këtë procedurë konkurruese dhe t’u komunikojë atyre, si paraprakisht çmimin bazë të ankandit, ashtu edhe më pas çmimin e adjudikimit të arritur në përfundim të kësaj shitjeje, në mënyrë që ata të mund të ushtrojnë parablerjen e parashikuar nga normat statutore.
Prandaj, adjudikimi në favor të ofertuesit më të mirë mund të konsiderohet përfundimtar vetëm pasi të ketë kaluar afati prej 30 ditësh nga vetë adjudikimi i përkohshëm, brenda dhe jo më vonë se ky afat, gjatë të cilit ortakët mund të ushtrojnë të drejtën e parablerjes të krijuar në favor të tyre (Neni 106 L.F. dhe 2471 i Kodit Civil).
